How to List a Company Abroad: The Mauritius Route Explained

Published: 2026-10-24 / Updated: 2026-10-24 ・ 6 min read

Key takeaways

  • DEM asks for one year of audited IFRS accounts, MUR 20 million market cap, and separate shareholder/public-float tests.
  • Official Market asks for three years of financials, MUR 20 million market cap, and a public float that can phase up to 25% by year five.
  • DEM companies need a corporate adviser; Official Market companies need a registered sponsor and, for international issuers, a local agent.

Listing a Company Abroad: Where Mauritius Fits

To list a company abroad, a founder or CFO generally chooses between a well-known exchange in a larger market (such as NSE, BSE, JSE or SGX) and a smaller international exchange that focuses on cross-border issuers, such as the Stock Exchange of Mauritius (SEM). SEM offers two boards — the Development & Enterprise Market (DEM) and the Official Market — each with its own eligibility rules, documents and advisers, set out below.

This article is published by Gateway Listing Review, a site that compares listing venues for founders and CFOs in India, Southern and East Africa, and Asia. It is not the Stock Exchange of Mauritius and is not affiliated with it. For next steps, enquiries are referred to Liberty Consulting.

Why companies look at a second listing venue

A company already trading on its home exchange, or a private company that wants an international shareholder base, sometimes looks abroad for reasons such as raising capital in a different currency, reaching international investors, or building visibility outside its home market. SEM supports settlement in USD, EUR, GBP, ZAR and MUR, which is one practical reason cross-border issuers consider it — see SEM at a glance.

The regulator for any SEM listing is the Financial Services Commission (FSC) of Mauritius. Founders comparing jurisdictions should check FSC's own publications directly at fscmauritius.org before relying on any summary, including this one.

DEM Eligibility: The Entry-Level Board

The DEM is generally the board smaller or younger companies look at first. Its published requirements include:

Full detail is on the DEM admission requirements page. Anything not listed here — such as specific application fees or document checklists — should be confirmed directly with the exchange or an adviser.

On the adviser side, DEM Rule 32 (DEM Rules, amended November 2019) requires a company to retain a corporate adviser "as far as reasonably practicable" at all times while listed. This adviser's role is to guide directors on compliance and to act as the link between the company and SEM. The DEM Rules do not use the word "sponsor" — that term applies to the Official Market, described below.

Official Market: The Senior Board

The Official Market sits above the DEM and asks for a longer track record:

Details are set out on the Official Market admission requirements page.

Under the Official Market Listing Rules (Rule 4.2), a company must appoint a sponsor registered with SEM, both while applying and throughout the period it remains listed. International issuers face an additional requirement under Rule 15.4: appointing a local agent in Mauritius. Readers planning an Official Market application should ask their adviser exactly what the sponsor and local agent roles cover in practice, since the detail sits in the rulebook rather than in general summaries.

Typical Sequence for a Cross-Border Listing

While no two applications look identical, a company considering SEM generally works through stages like these:

  1. Internal decision and board mandate — the board agrees to explore a listing and sets objectives (capital raised, currency, investor base).
  2. Choice of board — DEM or Official Market, based on track record, shareholder base and how quickly the company can meet the public float conditions.
  3. Appointment of advisers — a corporate adviser (DEM) or a registered sponsor and local agent (Official Market), plus auditors able to produce IFRS financial statements.
  4. Preparation of financials and (if relevant) the business plan — audited statements for the required period, or a three-year business plan certified by an independent financial adviser for a DEM applicant without a track record.
  5. Application to SEM and review by the FSC — the exchange and regulator review the application; no fixed timeline or approval outcome can be promised by any adviser or by this site.
  6. Admission and ongoing compliance — once listed, the company continues working with its corporate adviser or sponsor on disclosure and listing rule compliance.

Founders should treat this as a general outline, not a project plan — actual document lists and review periods should be confirmed with SEM or a qualified adviser.

Other Boards to Be Aware Of

SEM also operates SEMX, a growth platform for African businesses that launched in December 2024, and the Africa Board, launched in October 2018 for companies with at least half of their assets or revenue in Africa outside Mauritius. Neither is described in detail in SEM's general eligibility pages in the way DEM and Official Market are, so a company interested in either should raise it directly with the exchange or an adviser rather than assume how it interacts with DEM or Official Market rules.

Scale of the Market

At the end of 2025, SEM had 57 companies listed on the Official Market and 33 on the DEM. Since 2010, 255 new securities (shares, bonds and other instruments, not a count of individual companies) have been listed on SEM, of which 124 came from international issuers — giving some indication of how established the cross-border route is, without suggesting any particular outcome for a new applicant.

Choosing Between Boards

Neither board is universally "better" — a company's track record, shareholder base, and how quickly it can satisfy public float conditions will generally point toward one or the other. DEM's single year of audited accounts and lower initial public float threshold suit some issuers; the Official Market's longer track record and higher float requirement suit others. A founder or CFO should discuss both options with a sponsor, corporate adviser or the exchange itself before deciding.

Next Steps

Confirming eligibility, document requirements and the realistic sequence for a specific company is a job for a qualified adviser familiar with SEM's current rules, not a general article. Gateway Listing Review refers such enquiries to Liberty Consulting for further discussion.

FAQ

Q. Can a foreign company list on the Stock Exchange of Mauritius without a Mauritius head office?
A. International issuers do list on SEM, but the Official Market Listing Rules require a local agent to be appointed (Rule 4.2 and related provisions). Confirm the current scope of this requirement with the exchange or an adviser.
Q. What if my company has no trading history yet?
A. The DEM allows a company without a track record to apply using a business plan covering at least three years, certified by an independent financial adviser, instead of the usual one year of audited IFRS financial statements. See the [DEM admission requirements](https://stockexchangeofmauritius.com/listing-issuer-services/listing-on-sem/admission-requirements/dem).
Q. Do I need 100 shareholders holding 10% of my shares to list on the DEM?
A. No. "At least 100 shareholders" and "at least 10% in public hands" are two separate conditions, not one combined test, and the SEM may admit a company that commits to meet both by the end of its first year.
