Stock Exchange of Mauritius: A Plain-English Guide for Found

Published: 2026-10-14 / Updated: 2026-10-14 ・ 5 min read

Key takeaways

  • SEM has two boards: the DEM (one year of audited IFRS accounts) and the Official Market (three years)
  • DEM companies must keep a corporate adviser; Official Market companies must appoint a registered sponsor and, if foreign, a local agent
  • At end-2025, SEM listed 57 Official Market companies and 33 DEM companies, with trading available in USD, EUR, GBP, ZAR and MUR

What Is the Stock Exchange of Mauritius?

The Stock Exchange of Mauritius (SEM) is a regulated securities exchange offering two main boards — the Official Market and the Development & Enterprise Market (DEM) — supervised by the Financial Services Commission (FSC). For founders and CFOs outside Mauritius, it is one of several venues worth comparing when a home-market listing feels too slow, too thin on liquidity, or poorly suited to a multi-currency investor base.

This article sets out what SEM actually requires, who is involved in a listing, and how the process typically unfolds, using only the figures the exchange publishes. For rules on other exchanges (NSE, BSE, JSE, SGX and similar), check the relevant official rulebook directly — this article does not state their numbers.

SEM at a Glance

SEM supports trading and settlement in multiple currencies — USD, EUR, GBP, ZAR and MUR — which matters for companies with revenue or shareholders outside Mauritius. At the end of 2025, the exchange counted 57 companies on the Official Market and 33 on the DEM. Since 2010, 255 new securities (shares, bonds and other instruments, not a count of companies) have listed on SEM, of which 124 came from international issuers. Background on the exchange's structure is available at SEM at a glance.

DEM Eligibility: What a Growing Company Needs

The DEM is generally the entry point for smaller or younger companies. Its core requirements are:

Who Handles a DEM Listing

Under the DEM Rules (amended November 2019), Rule 32 requires a DEM-listed company to retain a corporate adviser "as far as reasonably practicable" at all times. The corporate adviser's job is to guide the board on compliance and to liaise with SEM on the company's behalf. Note that the DEM Rules do not use the word "sponsor" — that term belongs to the Official Market framework, described below. Readers wanting the primary text can consult the DEM Rules (November 2019) directly.

Official Market: The More Established Route

The Official Market sits above the DEM and asks for a longer track record and a wider public float:

These requirements are set out at the Stock Exchange of Mauritius – Official Market requirements.

Who Handles an Official Market Listing

The Official Market Listing Rules (Rule 4.2) require a sponsor registered with SEM to be appointed both while the listing application is in progress and for as long as the company remains listed. The sponsor's role is distinct from the DEM's corporate adviser — it is a formal, continuing appointment tied specifically to the Official Market. In addition, Rule 15.4 requires international issuers to appoint a local agent in Mauritius. A foreign company planning an Official Market listing should expect both appointments to be part of its advisory team from an early stage.

Africa Board and SEMX

SEM also operates the Africa Board, launched in October 2018, for companies with at least half of their assets or revenue located in Africa outside Mauritius. Separately, SEMX, a growth platform for African businesses, launched in December 2024. Founders considering either route should confirm current eligibility criteria directly with the exchange, since this article does not go beyond the facts above.

A Typical Sequence Founders Should Expect

While exact timing and cost depend on the company and cannot be promised in advance, a listing process generally involves:

  1. Internal readiness review — audited financial statements (one year for DEM, three years for Official Market) and corporate governance structures in order.
  2. Appointment of advisers — a corporate adviser for a DEM application, or a registered sponsor (plus a local agent, if the issuer is foreign) for an Official Market application.
  3. Preparation of listing documents — including the admission document or prospectus, as applicable, prepared with the appointed adviser or sponsor.
  4. Engagement with the FSC and SEM — regulatory and exchange review of the application.
  5. Meeting shareholder and public float conditions — either at admission or, on the DEM, by commitment within the first year.
  6. Admission to trading — followed by ongoing compliance obligations, including maintaining the adviser or sponsor relationship.

Founders should treat this as a general shape, not a fixed timeline, and confirm specific steps with the exchange or a qualified adviser before planning around any date.

Comparing SEM With a Home-Market Listing

For a founder in India, Southern or East Africa, or elsewhere in Asia, the practical comparison usually comes down to track-record requirements, public float conditions, currency of trading, and the nature of the ongoing adviser relationship (corporate adviser versus sponsor). This article has stated SEM's own published figures only; for the equivalent numbers on NSE, BSE, JSE or SGX, readers should go to each exchange's official rulebook rather than rely on secondhand comparisons.

Questions about which SEM board might fit a particular company's structure are best directed to the exchange itself, the Financial Services Commission Mauritius, or a qualified adviser. This site refers such enquiries to Liberty Consulting.

FAQ

Q. Is the Stock Exchange of Mauritius regulated?
A. Yes. The SEM operates under the supervision of the Financial Services Commission (FSC), Mauritius's financial services regulator.
Q. Can a company with no trading history list on SEM?
A. On the DEM, a company without a track record may apply using a business plan covering at least three years, certified by an independent financial adviser, as an alternative to one year of audited IFRS statements.
Q. Does the DEM require a sponsor like the Official Market does?
A. No. The DEM Rules require a corporate adviser retained at all times (Rule 32); the word "sponsor" and the appointment duty in Rule 4.2 apply specifically to the Official Market.
